Terms of Service — Zypheria Labs

Overview and Acceptance: By accessing or using Zypheria Labs’ websites, documentation, front-end interfaces, tools, APIs, and any other resources that interact with or facilitate access to the Zypheria (ZYPH) blockchain protocol and its related components (collectively, the “Services”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree to these Terms, do not use the Services.
These Terms apply to adult users (the age of majority in your jurisdiction and, for U.S. residents, at least 18 years old) and to both individuals and businesses.
What Zypheria Labs Is; Relationship to Zypheria
Zypheria Labs (“Zypheria,” “we,” “us,” “our”) explores and advances Zypheria’s vision and approach to decentralized finance (DeFi). Zypheria (ZYPH) is a decentralized, high-performance, app-specific blockchain purpose-built for DeFi, designed to offer atomic composability, capital efficiency, and a streamlined user experience.
The Services include non-custodial, permissionless protocol components that live on public blockchain infrastructure, as well as one or more front-end interfaces operated by or on behalf of Zypheria Labs to assist users in interacting with such protocol components (the “Interface”).
Non-Custodial Architecture; Accounts; Wallets
Non-Custodial: Zypheria does not custody user assets, private keys, or seed phrases and cannot access or recover them. You remain solely responsible for your wallet(s), credentials, and devices.
Accounts: The Interface may offer account constructs (e.g., profiles, settings, usage tracking) tied to your connected wallet and/or other identifiers you voluntarily provide. These accounts are non-custodial in nature and do not give Zypheria control over your on-chain assets.
Wallets: You connect using your own compatible wallet. Wallets are provided by third parties subject to their terms, not ours. Transactions you authorize are executed on-chain and are generally irreversible.
Eligibility and Geographic Use
Age: You must be of the age of majority in your jurisdiction and, for U.S. users, at least 18 years old.
Global Availability: The Services are generally available worldwide except where prohibited by law. You are responsible for ensuring your use complies with all applicable laws and regulations, including sanctions and export controls.
Documentation; Rules; Limited Moderation
Rules of Use: You must use the Services in accordance with any technical rules, parameters, and guidelines set forth in the official documentation or on the Interface (collectively, the “Documentation”).
Limited Censorship: Given the decentralized nature of Zypheria, moderation is inherently limited. Zypheria does not exercise control over the permissionless blockchain and cannot retroactively prevent or undo on-chain actions. However, Zypheria may set reasonable technical parameters in the Interface consistent with the Documentation.
Prohibited Activities You agree not to:
Violate the Documentation or exploit protocol assumptions, rate limits, fee mechanics, or consensus/security properties;
Use the Services for unlawful purposes or to infringe any rights (including IP, privacy, or publicity);
Deploy malware, conduct denial-of-service attacks, spam transactions, or otherwise degrade networks or the Interface;
Attempt unauthorized access to systems or data or impersonate Zypheria or others;
Evade applicable sanctions, export controls, or anti-abuse measures required by law.
Fees, Payments, and Refunds
Usage-Based Pricing: Certain features of the Services are priced on a usage basis as described in the Interface and/or Documentation.
Cryptocurrency Payments: Fees are payable in cryptocurrencies supported by the Interface and/or as specified in the Documentation. Network (gas) fees are paid to the network and are separate from any fees for the Services.
Finality; No Refunds: Due to the nature of blockchain transactions, all transactions are final and non-reversible. Zypheria does not offer refunds.
Taxes: You are responsible for all applicable taxes, duties, and assessments related to your use of the Services and any benefits you may receive.
User Content
User-Generated Content: The Services may allow you to submit or publish content (collectively, “UGC”). You are solely responsible for your UGC and represent that you have all rights necessary to post it and that it does not violate law or third-party rights.
License to Zypheria: You grant Zypheria a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your UGC for the purpose of operating, improving, and providing the Services.
On-Chain Data: Content recorded on-chain is public, permanent, and not controlled by Zypheria. We cannot edit or remove on-chain content.
Intellectual Property; Open Source
Open Source Code: Zypheria protocol code and Zypheria Labs codebases may be open sourced. Your rights in such code are governed by the specific open-source license(s) accompanying each repository (e.g., MIT, Apache 2.0, or other). In case of conflict between these Terms and an applicable open-source license for code, the open-source license controls for that code.
Trademarks and Brand: Zypheria Labs’ names, logos, trademarks, site content, and Documentation are protected. Except as permitted by applicable law or with our prior written consent, you may not use our marks or present your product or service as affiliated with or endorsed by Zypheria.
No Proprietary Lock-In: Except for brand and non-code content, Zypheria’s intention is to publish code under open-source terms to the greatest extent practicable.
Service Availability; “As Is”
Decentralized Protocol: Zypheria is designed for continuous availability via public blockchain infrastructure. Actual availability depends on third-party validators, node/RPC providers, networks, indexers, and other infrastructure outside Zypheria’s control.
Interface: The Interface and hosted tooling are provided “as is” and “as available” and may undergo maintenance, rate limiting, or experience interruptions. Interacting directly with the blockchain may be possible without the Interface.
Third-Party Services and Links The Services: may rely on or link to third-party services (wallets, RPC providers, oracles, analytics, hosting/CDNs/DNS, payment rails, indexers, bridges). Zypheria does not control these third parties and is not responsible for their availability, security, or terms. Your use of third-party services is at your own risk and governed by their policies.
Security; Responsible Disclosure: Do not exploit vulnerabilities. If you discover a potential security issue, please report it via the contact channels. Zypheria may implement Interface-level mitigations for critical risks; such measures do not alter the permissionless nature of the underlying protocol.
Governance Certain: Zypheria protocol parameters and features may be determined or modified through on-chain governance, as described in the Documentation. Governance decisions can affect fees, rewards, access parameters, or other technical aspects of the protocol.
Suspension and Termination
No Unilateral Termination: Zypheria does not offer or exercise unilateral termination or deletion of user accounts, nor can it terminate your ability to interact with the Zypheria protocol on-chain.
Interface Access: Access to the Interface may be temporarily unavailable (e.g., maintenance or non-payment of usage-based fees for Interface features requiring resources). Such unavailability is not a termination and does not affect your ability to interact with Zypheria directly on-chain.
No Investment, Legal, or Tax Advice Information: Provided through the Services is for informational and technical purposes only and does not constitute investment, legal, or tax advice. You are solely responsible for your decisions and should consult your own advisors.
Disclaimers of Warranties: To the maximum extent permitted by law, the Services (including the protocol, Interface, Documentation, and all related components) are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Zypheria does not warrant that the Services will be uninterrupted, secure, or error-free.
Limitation of Liability: To the maximum extent permitted by law:
Zypheria Labs and its affiliates, officers, directors, employees, agents, developers, and contributors will have no liability for any indirect, incidental, special, consequential, exemplary, or punitive damages; for lost profits, revenues, data, or business; or for any loss or damage arising from on-chain transactions or your reliance on the Services.
Zypheria's total aggregate liability for any claims arising out of or relating to the Services or these Terms is USD $0.
Indemnification: You agree to defend, indemnify, and hold harmless Zypheria Labs and its affiliates, officers, directors, employees, agents, developers, and contributors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use or misuse of the Services; (b) your violation of these Terms or the Documentation; or (c) your violation of applicable laws or third-party rights.
Compliance; Export and Sanctions: You represent that you are not subject to sanctions or restrictions that would prohibit your use of the Services and that you will comply with applicable export control and sanctions laws.
No Unilateral Changes to These Terms Zypheria Labs will not unilaterally amend these Terms. Any modification requires adoption through a new, separately presented agreement or an on-chain governance process expressly described in the Documentation. Absent such processes, these Terms remain fixed.
Governing Law; Venue; Court Proceedings: These Terms are governed by the laws of the Republic of Argentina, without regard to conflict-of-law principles. All disputes arising out of or relating to these Terms or the Services will be resolved exclusively in the courts of Argentina. Each party consents to the jurisdiction and venue of such courts. Arbitration is not required unless the parties agree in writing.
Miscellaneous:
Entire Agreement: These Terms and the Documentation constitute the entire agreement between you and Zypheria regarding the Services and supersede prior or contemporaneous understandings on the subject matter.
Severability: If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Assignment: You may not assign or transfer these Terms without Zypheria’s prior written consent. Zypheria may assign these Terms without restriction.
No Waiver: Failure to enforce any provision will not constitute a waiver.
Force Majeure: Zypheria is not liable for delays or failures due to events beyond its reasonable control, including network or internet failures, cyberattacks, regulatory actions, or other force majeure events.
Language: These Terms are in English. If translated, the English version controls in case of conflict.
